Execution of Documents: Is Your Company Signing Correctly?

A document is executed by a company by any one of the following methods:

Common Seal

Authorized Officers

Affixation of Common Seal
(subject to constitution).

Note: Under Companies Act 2016, a company may or may not have a common seal.

Signing on behalf of the company by at least two (2) Authorized Officers, one of whom shall be a director.

An Authorized Officer means:-

  • a director; or
  • a secretary; or
  • any other person,

approved by the Board.

Sole Director:

In the case of a sole director, a document is validly executed by a company it if is signed by that director, in the presence of a witness who attests the signature.
